Agent Agreement
Agent: Performs the function of recruiting and vetting Suppliers to sell their products on Zaptly platform and is the point of contact and liaison between the Supplier and the Provider.
The Provider: Also known as Zaptly.
The Parties: A Supplier, the Agent and Zaptly (the Provider).
The Supplier Agreement (TSA): The TSA is a legally binding document accessible as a hardcopy or as provided on Zaptly’s website between the parties.
Authorised Representatives:
- Zaptly, warrants that by clicking “I Agree” button there is a legally binding contract between Zaptly and the Agent (albeit an individual or a company).
- Contact with the Agent will be via an authorised representative of Zaptly.
- To recruit Southern African businesses, who make/sell products made in the region as suppliers to the Provider to workshops hosted by the Zaptly team.
- Commission is based only on those suppliers who subscribe to Zaptly and not on workshop attendance.
- To undertake the vetting of any Supplier being recruited. Vetting is as follows:
- To check that the company is registered as a legitimate business within your region.
- That the products offered for upload are manufactured in the region (Southern Africa).
- That the content of the product including labour has a high % of local content.
- To verify the quality of the products.
- To serve as a liaison between the Provider’s team and the Supplier.
- To be an ambassador for the Provider involved in the continuous promotion of Zaptly via the sharing of our brand marketing material and posts through all social media platforms.
- Take care of and maintain the Zaptly ecommerce platform, such that all suppliers will have the assurance of a legitimate and operational entity.
- Support and provide clarity to the Agents in their bid to secure suppliers to Zaptly.
- Have an open communication channel to support Agents requiring assistance and clarification.
- Attend to the 50% commission payment, as outlined in the Agent’s Contract, timeously as per payment from the supplier, on a monthly basis and as per the subscription plan selected by each supplier for the stipulated period. (4 months).
- Notify the Agent via email with any changes and updates to policy and procedures.
If any dispute arises out of this agreement, the Parties must, within 7 days of receipt of a notice declaring a dispute, attempt to:
- Resolve the dispute amicably; or
- Agree to a process for resolving the dispute. If, within 7 days of the dispute being declared, the parties’ representatives do not resolve the dispute or do not agree on a process for resolving the dispute, any party may approach a competent court for legal recourse.
The Agent is required to be mindful of Zaptly’s aim to help the region by providing a convenient opportunity to participate in the building of a strong economy and a prosperous society. The agent is therefore required to be an active brand ambassador to the core values that support the growth and sustainability of local businesses.
Commission on signing of a Supplier Agreement:
The Agent will receive a commission equivalent to 50% of the monthly subscription of each supplier signed for a period of 4 months.
Silver Subscription Example
- Agent recruits a single Supplier, monthly fee of R299,00
- R254,15 x 50% = R127,08 per month (Agent’s monthly commission)
- R127,08 x 6 months = R762,48 (Total commission over 6 months)

- 100 Suppliers signed = R12 708,00 per month; R76 248,00 over 6 months
Gold Subscription Example
- Agent recruits a single Supplier, monthly fee of R499,00
- Less 15% vat@R74,85 = R424,15
- R424,15 x 50% = R212,08 per month (Agent’s monthly commission)
- R212,08 x 6 months = R1 272,48 (Total commission over 6 months)
- Potential: 50 suppliers signed = R10 604,00 per month; R63 624,00 over 6 months
- 100 Suppliers signed = R21 208,00 per month; R127 248,00 over 6 months
Platinum Subscription Example
- Agent recruits a single Supplier, monthly fee of R799,00
- Less 15% vat@R119,85 = R679,15
- R679,15 x 50% = R339,58 per month (Agent’s monthly commission)
- R339,58 x 6 months = R2 037,48 (Total commission over 6 months)
- Potential: 50 suppliers signed = R16 979,00 per month; R101 874,00 over 6 months
- 100 Suppliers signed = R33 958,00 per month; R203 748,00 over 6 months

Contract Term
This contract is ongoing for 4 months from the last signed Supplier, and can be terminated by either party provided that the liaison of all Suppliers under the Agent are successfully handed to the inhouse team.
